A New Choice for Nationwide Members

For the first time in more than 20 years, Members have a genuine choice in a Nationwide Building Society Board election.

I’m James Sherwin-Smith, a Member Nominated Candidate standing for Election to the Board of Nationwide Building Society.

If elected, I will bring an independent Member voice to the Boardroom and help ensure that Members’ interests remain at the centre of decision-making.


Why I Am Standing

I care deeply about the future of Nationwide.

Building societies play an important role in British society. Unlike banks, they are owned by their Members and exist to serve them.

Nationwide has grown significantly in recent years and is now entering a new phase following the acquisition of Virgin Money.

At a time of major change, I believe it is important that Members are represented directly at Board level.

I am standing because I believe:

  • Members deserve a stronger voice.
  • Good governance matters.
  • Independent challenge improves decision-making.
  • Nationwide’s mutual status should be protected and strengthened for future generations.

This campaign is not about opposing Nationwide.

It is about helping ensure that the Society remains accountable to the people who own it.


Why This Election Matters

Most Nationwide Board elections are held without any alternative candidates on the ballot.

This year is different.

For the first time in more than 20 years, Members have the opportunity to elect a Member Nominated Director.

That means Members can choose whether they want:

  • a Board made up entirely of candidates selected through the Board’s own process; or
  • an additional independent director nominated directly by Members.

I believe that choice is healthy for any mutual organisation.


What Would I Bring To The Board?

Independent Perspective

I am not part of Nationwide’s existing Board structure.

I would bring an independent viewpoint and a willingness to ask difficult questions where necessary.

Member Representation

Nationwide belongs to its Members.

I believe Board discussions should always consider how decisions affect Members and the long-term health of the Society. A Member Nominated Director brings a clear focus and greater accountability.

Governance Experience

I have spent more than 20 years working in Financial Services, including leadership roles in highly regulated environments.

I understand governance, risk, regulation and organisational accountability.

Constructive Challenge

Good Boards are strengthened by constructive challenge.

Directors should not simply agree with one another.

The best decisions are made when different perspectives are heard and tested.


What Issues Concern Me?

Nationwide remains a successful and financially strong organisation.

However, I believe Members should take an active interest in:

Member Representation

  • No Member Nominated Director has sat on the Board for more than 20 years.
  • I believe Member representation should be strengthened.

Accountability

  • Mutual organisations work best when leadership remains accountable to Members.
  • That requires meaningful participation in elections and governance.

Long-Term Stewardship

  • The decisions made today will shape Nationwide for many years to come.
  • Members deserve confidence that major strategic decisions are being properly scrutinised.

Democratic Participation

  • Board elections should encourage informed participation by Members.
  • The more Members engage with the governance of the Society, the stronger the mutual becomes.

Why My Experience Matters

My background includes:

  • More than 20 years in Financial Services.
  • Former CEO experience.
  • Senior leadership roles within critical UK payments infrastructure.
  • Experience working with regulators, Boards and governance frameworks.
  • Public commentary on financial services, governance and mutuality.

I understand both the opportunities and responsibilities that come with serving on the Board of a major financial institution.
